This includes responses, analyses, reports, recommendations, and any other content created by AI systems operated or facilitated by Neurochain Limited ("Neurochain," "we," "us," or "our") in response to user queries, requests, or interactions with the Services. AI-generated content may encompass a wide range of outputs generated autonomously by AI models and algorithms and may include natural language text, data visualizations, images, audio, or other forms of digital content. Users should be aware that AI-generated content is algorithmically generated and may not always be error-free, accurate, or exhaustive.

2.2 "Neurochain Limited," "Us," "the company," and "We" refer to Neurochain Limited, a company duly registered under the laws of England, with its principal office located at First Floor Office 3, Hornton Place, London, W8 4LH, United Kingdom. The user is responsible for maintaining the accuracy and currency of their registration information.  Neurochain reserves the right to request additional proof of identity in order to validate user data. Additionally, we may employ third-party providers to assist with identity verification.

5.4 Users are responsible for keeping their login credentials, including their usernames and passwords, confidential. Users are prohibited from sharing their login credentials with unauthorised parties. Unless expressly authorised by Neurochain, account access should be restricted to the registered user.

5.5 If you are registering on behalf of a company or organisation ("the Client"), you may grant access to your account to Client employees who have a legitimate business need to access the account. However, it is your responsibility to ensure that these authorised employees adhere to these Terms of Service and any additional security measures implemented by Neurochain.

5.6 We encourage users to protect their accounts by enabling two-factor authentication (subject to availability), changing their passwords frequently, and reporting any suspected unauthorised access to Neurochain immediately.

6. The scope and modification of Neurochain services

6.1 The specific functionality of Neurochain services is described on the official Neurochain website (www.neurochain.ai), as well as in other Neurochain-distributed materials.

6.2 While we make every effort to provide exhaustive descriptions of our services, including their features and functionalities, we reserve the right to withhold disclosure of the technical details, algorithms, methods, and processes underlying their operation. Due to the confidential nature of our technology and methods, we may be unable to provide in-depth technical explanations.

6.3 For an understanding of the functionalities and capacities of the services, clients are urged to consult the information available on our website and in other official materials. Please contact our support staff if you have any questions or need additional information about our services.

6.4 We reserve the right, at our sole discretion, to update, modify, reduce, and/or expand the capacity and scope of our services without the express consent of the Client.  These updates and changes may be implemented without prior notification to the Client.

6.5 While Neurochain endeavours to periodically announce upcoming updates or major changes to the services, the absence of such announcements shall not be construed as a violation of service by Neurochain.  We strive to keep our clients informed of significant changes to improve their experience, but there may be instances in which immediate changes are required to enhance our services or maintain security.

7. Use of Neurochain Services

7.1 Our Services may only be used for legal purposes and in accordance with all applicable local, state, national, and international laws and regulations.

‍

7.2 You may access and use the Services for their intended purposes, which may include gaining access to AI data evaluation tools, algorithms, data validation services, AI models, and related tools made available on the website.

‍

7.3 The following activities and uses are strictly forbidden when using Neurochain Services:

7.3.1 You may not attempt to gain unauthorised access to any accounts, systems, or networks connected to Neurochain Services, nor may you interfere with the security measures in place.

‍

7.3.2 Manipulation of Data: You may not manipulate, tamper with, or attempt to alter any data, content, or information provided through our Services in a way that could compromise the data's integrity or accuracy.

7.3.3 Illegal Content: You are not permitted to create, upload, transmit, or distribute any content that is illegal, harmful, abusive, offensive, or violates the rights of others, including their intellectual property rights.

8.2 The client retains ownership of all information provided to Neurochain by the user, including but not limited to individual requests, datasets, queries, and other user-generated content.  Similarly, the Client owns the responses provided by Neurochain software, such as the results of data analysis, generated texts, images, sounds, or any other content generated in response to user requests.

8.3 Use of User-Provided Data by Neurochain. While the information provided by the user remains the Client's property, Neurochain reserves the right to use the data provided by the Client for future training and quality improvement purposes, excluding personal data of third parties.

‍

8.4 Privacy Considerations. Neurochain is committed to protecting the privacy and secrecy of user data, including Client-provided information. Personal data of third parties will not be used or disclosed without their consent and in accordance with data protection laws.

‍

8.5 Usage Permissions for Neurochain's Intellectual Property. Neurochain provides users with a limited, non-exclusive, non-transferable, and revocable license to access and utilize Neurochain Services, including content generated by NeurochainAI, for their commercial purposes, provided such usage is in compliance with all applicable laws and regulations. Additionally, users may access and use Neurochain property exclusively for non-commercial personal purposes. Any copying, modification, distribution, sale, or lease of Neurochain Content or our software for commercial purposes is permitted only if explicitly authorized in writing by Neurochain.

8.6 Users must not engage in any activities that infringe upon Neurochain's intellectual property rights, including but not limited to reverse engineering, decompiling, or disassembling our software, or attempting to gain unauthorized access to our systems or data.

9. Disclaimer of Warranties

9.1 Neurochain provides its Services "as is" and "as available." We make no representations or warranties of any kind, express or implied, regarding the availability, reliability, accuracy, or suitability of our Services for your particular purpose. While we are committed to improving the quality of our Services, it is important to understand that our Services involve the use of AI models and algorithms, which may create outputs and responses that are generated autonomously. These AI models operate based on a multitude of data inputs and may develop algorithms of their own over time. Such autonomous behaviour can occasionally produce outcomes beyond our control.

9.2 Neurochain disclaims, to the maximum extent permitted by applicable law, all express and implied warranties, including, but not limited to:

9.2.1 Our Services are not warranted to be fit for any particular purpose, to meet your specifications, or to operate without interruption or error.

‍

9.2.2 We make no guarantee that our Services will produce particular results or accomplish particular outcomes.

‍

9.2.3 We make no guarantee that our Services do not infringe on the rights of third parties.

‍

9.3 Neurochain provides no assurances regarding the accuracy, completeness, or dependability of the content provided through our Services. While we strive to provide accurate information and responses, the nature of AI models and algorithms may lead to variations in the quality and precision of the content.

9.4 You acknowledge that you are aware of and accept the inherent limitations, uncertainties, and variations in AI-generated content and responses by using our services.  You acknowledge that the provided results and information may not always be error-free, accurate, or comprehensive.

9.5 Users are responsible for independently evaluating the content generated by our Services and should exercise discretion and due diligence when making decisions based on the provided information.

10. Limitation of Liability

10.1 By using the services provided by Neurochain, the client acknowledges, without reservation, the following:

10.1.1 Neurochain and its affiliates, partners, directors, officers, employees, agents, and licensors shall not be held responsible for any damages, losses, or liabilities incurred by the client, whether direct, indirect, incidental, special, consequential, or punitive.

‍

10.1.2 Neurochain shall not be liable for damages caused by or during the use of our services, including but not limited to damages arising from:

• Interruption, suspension, or termination of services.
• Unauthorized access or use of client data.
• Errors or inaccuracies in AI-generated content.
• Failure to meet client expectations or requirements.
• Actions or omissions of third-party providers.

10.2 Users of Neurochain Services agree to indemnify and hold Neurochain, its affiliates, partners, directors, officers, employees, agents, and licensors harmless from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

• The user's use of our Services.
• Violation of these terms or any applicable laws or regulations.
• Misuse of the Services or any unauthorised access to user accounts.
• Any content submitted, transmitted, or accessed through our Services.

10.2.1 Any infringement or violation of third-party rights.

10.3 Neurochain reserves the right to assume the defence and control of any matter for which we are required to be indemnified by the user. The user agrees to cooperate with our defense of these claims.

11. Compensation for services

11.1 Neurochain provides paid services, and our pricing and payment terms are published on our website.  However, we acknowledge that specific payment terms may be negotiated individually with clients to meet their specific needs.

11.2 The cost of Neurochain's services may vary based on objective factors such as those listed below.

• Frequency of use.
• Volumes of data transferred and processed.
• Server load and other pertinent variables.

11.3 We strive to provide clients with flexible pricing options that meet their individual requirements.

‍

11.4 Clients must pay for Neurochain services within 20 days of receiving the invoice. Payment must be made in accordance with the agreed-upon pricing terms at the time of engagement.

‍

11.5 If payments are not made on time, services may be discontinued. To avoid service interruptions, it is the responsibility of the client to ensure prompt payment.

‍

11.6 In the event of late payment, clients will incur penalties of 0.04% of the unpaid balance for each day of delay until the unpaid balance is paid in full.

‍

11.7 Neurochain reserves the right, if necessary, to recover delinquent amounts through third-party legal assistance.  In such instances, clients are required to pay the delinquent amounts plus all legal and court costs incurred during the collection process.

‍

11.8 Neurochain accepts payments in the following currencies: EUR (Euros), GBP (British Pounds), USD (United States Dollars). Additionally, we may accept payments in stable-value virtual currencies, also known as "stablecoins."

‍

11.9 To ensure a mutually beneficial arrangement, we are willing to negotiate customised payment terms with clients who have unique or specific needs.

‍

12. Termination

‍

12.1 Neurochain reserves the right to suspend or terminate user accounts under the following conditions: 

‍

12.1.1 We reserve the right to terminate or suspend user accounts in the event that we decide to cease providing our services, either temporarily or permanently. In such cases, users will be duly notified.

‍

12.1.2 Violation of the Terms of Service: We reserve the right to terminate or suspend user accounts if we identify any violation of the Terms of Service or any misuse of Neurochain Services.

‍

12.2 When we terminate or suspend a user's account for violating our Terms of Service, we may send the user an invoice. The invoice will reflect the cost of services provided up to the point of termination or suspension.

‍

12.3 Clients may cancel their use of Neurochain services at any time by notifying us in a suitable manner. The methods specified by Neurochain must be followed when submitting termination notices. Upon termination by the client, all outstanding fees for services rendered up to the date of termination must be paid immediately. The client is responsible for ensuring that all financial obligations are met.

12.4 Neurochain retains information about the client and their activity for accounting, reporting, and auditing purposes following termination. This storage is required to satisfy legal and regulatory requirements.

13. Final Provisions

‍

13.1 The laws of the Republic of Lithuania shall govern and govern the interpretation of these Terms of Service.

‍

13.2 Disputes arising from or relating to these Terms of Service will initially be resolved through good-faith negotiations between the parties. In the event that the dispute cannot be resolved through negotiations, the courts of the Republic of Lithuania shall have exclusive jurisdiction to resolve the dispute.

13.3 The parties shall negotiate in good faith to resolve any disputes arising out of or relating to these Terms of Service. This shall involve a sincere effort by both parties to reach an amicable resolution, and each party agrees to negotiate in good faith.

13.4 These Terms of Service, along with any documents referred to herein or provided via Neurochain Services, constitute the entire agreement between the user and Neurochain.  They supersede all prior written or oral agreements, understandings, representations, and warranties.

13.5 If any provision of these Terms of Service is determined by a court of competent jurisdiction to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable or invalid provision shall be replaced with a valid provision that matches the original provision's intent as closely as possible.

13.6 The failure of Neurochain to enforce any provision of these Terms of Use shall not be considered a waiver of that provision or the right to enforce it at a later time. Any waiver of any provision of these Terms of Use shall be effective only if it is in writing and signed by an authorized representative of Neurochain.
